1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "Customer") and [LEGAL_ENTITY_NAME], a Wyoming limited liability company doing business as "SakhiChat" ("SakhiChat", "we", "us", or "our"), regarding your use of the SakhiChat website at sakhichat.com, our chat widgets, dashboards, APIs, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.
If you do not agree to these Terms, you must not use the Services.
2. Definitions
- "Account" means the registered account you create to access the Services.
- "Customer Data" means data you, your team members, or your end users submit to the Services — including chat messages, knowledge base content, and configuration.
- "End User" means a person who interacts with a chatbot you have deployed using the Services (e.g. a visitor on your website).
- "Subscription" means a paid plan you have selected, such as Starter, Pro, or Enterprise.
- "Trial Period" means the 15-day free evaluation period offered to new accounts.
- "AI Output" means content generated by the AI components of the Services in response to End User messages.
3. Eligibility
To use the Services, you must be at least 18 years old and capable of entering into a binding contract. You must not be prohibited from using the Services under the laws of your jurisdiction or of the United States.
The Services are not intended for use by children under 16. We do not knowingly collect personal data from children under 16. See our Privacy Policy for more information.
4. Your Account
4.1 Registration
You must provide accurate and complete information when creating your Account, and keep it up to date. We may require email verification before you can fully use the Services.
4.2 Security
You are responsible for safeguarding your password and for any activity that occurs under your Account. Notify us immediately at support@sakhichat.com if you suspect unauthorised access. We are not liable for losses arising from your failure to keep your credentials secure.
4.3 Team members and managers
Account owners may invite team members ("Managers") to access their workspace. The Account owner remains responsible for the conduct of their Managers and for any actions taken on the workspace.
5. Subscription & Billing
5.1 Plans and pricing
Subscription plans, features, and pricing are listed on our pricing page. We may update plans and pricing from time to time. Existing Subscriptions continue at the agreed price until the next renewal, at which point any new pricing applies.
5.2 Payment
Subscriptions are billed monthly in advance via our payment processor (Stripe). By providing payment details, you authorise us to charge the applicable fees, plus any applicable taxes, on each renewal date until you cancel.
5.3 Failed payments
If a payment fails, we will retry it and notify you. Continued failure may result in suspension or termination of your Subscription. You remain liable for any outstanding fees.
5.4 Refunds
Except where required by law, all fees are non-refundable. Cancellations take effect at the end of the current billing period; you retain access until then.
5.5 Taxes
Fees are stated exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes applicable to your purchase, except taxes based on our net income.
6. Free Trial
New accounts may receive a 15-day free trial of a paid plan. To activate the trial, we may require valid payment details, but no charge will be made during the Trial Period unless you confirm continuation.
At the end of the Trial Period, your selected plan will activate and your payment method will be charged unless you have cancelled. You may cancel at any time during the Trial Period from your billing dashboard at no cost.
We reserve the right to limit trial eligibility (e.g. one trial per person or organisation) and to revoke trials in cases of suspected abuse.
7. Acceptable Use
You agree not to use the Services to:
- Violate any law, regulation, or third-party rights.
- Send spam, unsolicited messages, or unlawful marketing.
- Distribute malware, viruses, or harmful code.
- Attempt to gain unauthorised access to the Services, related systems, or other accounts.
- Reverse-engineer, decompile, or attempt to extract source code, except as expressly permitted by law.
- Resell, sublicense, or white-label the Services without a written agreement (Enterprise plan only).
- Generate, store, or transmit content that is illegal, infringing, defamatory, harassing, hateful, sexually explicit, or that exploits minors.
- Use the Services to operate critical infrastructure (e.g. life-support, emergency response, nuclear) where failure could cause death, personal injury, or severe environmental damage.
- Use automated tools to abuse, overwhelm, or scrape the Services.
- Misrepresent the AI nature of the Services to End Users in violation of applicable law.
We reserve the right to suspend or terminate Accounts that violate these rules.
8. AI Services
8.1 How AI features work
The Services use third-party large language models (currently OpenAI) to generate responses to End User queries. AI Output is generated based on Customer Data you provide (e.g. FAQs, knowledge base content) and the prompt patterns we configure.
8.2 AI is probabilistic, not deterministic
AI Output may contain inaccuracies, omissions, or fabrications ("hallucinations"). AI Output is provided "as is" — you are responsible for reviewing AI Output before relying on it for material decisions. We do not warrant the accuracy, completeness, or appropriateness of any AI Output.
8.3 Disclosure to End Users
You agree to disclose to End Users that they may be interacting with an AI when using your chatbot, in compliance with applicable laws (including the EU AI Act where applicable).
8.4 Prohibited AI uses
You agree not to use AI Output to deceive, manipulate, or harm End Users; to impersonate real persons; to create disinformation; or to make consequential decisions about persons (e.g. credit, employment, healthcare, legal status) without meaningful human review.

9. Customer Data
9.1 Your ownership
You retain all rights, title, and interest in your Customer Data. We do not claim ownership over anything you submit to the Services.
9.2 License to operate the Services
You grant us a limited, non-exclusive, worldwide license to use, store, process, and display Customer Data solely as necessary to provide the Services to you, including by transmitting Customer Data to authorised subprocessors (such as OpenAI for AI processing).
9.3 Your responsibilities
You represent that you have all necessary rights and consents to submit Customer Data to the Services, including the right to share End User messages with us and our AI subprocessors.
9.4 Data privacy
Our handling of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Addendum.
10. Intellectual Property
The Services — including all software, designs, text, graphics, logos, and the SakhiChat brand — are owned by [LEGAL_ENTITY_NAME] or its licensors, and are protected by copyright, trademark, and other intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes during the term of your Subscription. No other rights are granted by implication, estoppel, or otherwise.
Feedback, suggestions, and ideas you submit to us may be used by us without restriction or compensation.
11. Third-Party Services
The Services integrate with third-party services, including but not limited to:
- OpenAI — for AI text generation
- Stripe — for payment processing
- Meta (WhatsApp Business API) — for WhatsApp messaging
- Resend — for transactional email
- Google — for OAuth sign-in and (optionally) Google Calendar
- MongoDB Atlas — for data storage
Your use of integrated third-party services is subject to their own terms and privacy policies. We are not responsible for the acts, omissions, or content of third parties, or for any third-party service becoming unavailable.
12. Termination
12.1 By you
You may cancel your Subscription at any time from your billing dashboard. Cancellation takes effect at the end of the current billing period.
12.2 By us
We may suspend or terminate your access to the Services with or without notice if you breach these Terms, fail to pay fees, or if continuing to provide the Services would expose us to legal or operational risk.
12.3 Effect of termination
On termination, your right to use the Services ends immediately. Customer Data will be retained for up to 30 days after termination to allow for export, after which it may be deleted. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, governing law) will survive.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components, or that any AI Output will be accurate, complete, or appropriate for your use case.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL [LEGAL_ENTITY_NAME], ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow exclusion or limitation of certain warranties or damages. To the extent such exclusions are not permitted, our liability is limited to the smallest extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless [LEGAL_ENTITY_NAME] and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your use of the Services; (b) your Customer Data; (c) your breach of these Terms; or (d) your violation of any law or third-party right.
16. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.
Notwithstanding the above, residents of the European Union, United Kingdom, and certain other jurisdictions retain the protection of mandatory consumer-protection laws of their country of residence.
17. Changes to Terms
We may update these Terms from time to time. If changes are material, we will give you reasonable notice (e.g. by email or a notice in the dashboard) before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
We will indicate the "Last updated" date at the top of this page whenever a change is published.
